IMPORTANT NOTICE: Nous Sapient reserves the right to update, modify, or replace these Terms of Use at any time at its sole discretion. All updates will be posted on this page with a revised effective date. No separate notification will be provided. By continuing to access or use Nous Sapient after revisions become effective, you agree to be bound by the revised terms. It is your sole responsibility to review these Terms of Use periodically. The latest version posted here supersedes all prior versions.
1. Service Provider and Relationship
1.1 Who We Are
Nous Sapient is operated by the Raanan Group, LLC, a Texas limited liability company with principal operations in Dallas, Texas, USA (“Raanan Group,” “we,” “us,” or “our”). The platform is founded and directed by Dr. Shashank Heda, MD, whose intellectual governance shapes the community’s epistemic standards and operational decisions.
Raanan Group’s registered agent and principal office address for legal notices is: Raanan Group, LLC, Dallas, Texas, USA. Legal notices must be submitted in writing. Operational inquiries may be directed to: contact@noussapient.com.
1.2 Nature of the Relationship
Nous Sapient operates as a founder-led intellectual community, not a neutral platform provider. It is a curated community built on trust, intellectual seriousness, and shared commitment to epistemic discipline.
By participating, you acknowledge that this is not a public utility or open-access platform. The community maintains the right to preserve its intellectual standards through selective membership, content governance, and operational decisions made at the sole discretion of platform leadership.
1.3 Discretionary Authority
All decisions regarding membership, content, community standards, intellectual criteria, pricing, access tiers, and platform operations rest with Nous Sapient and its founder. These decisions are made to preserve the intellectual integrity and epistemic quality of the community. Such decisions are not subject to appeal or external review except as expressly required by applicable law.
2. Acceptance and Modification of Terms
2.1 Acceptance
By accessing, browsing, or using Nous Sapient in any manner — including reading articles, participating in community discussions, or receiving platform communications — you accept and agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree with any part of these terms, you must immediately discontinue use of the platform.
2.2 Right to Modify Terms
Nous Sapient reserves the absolute right to modify, amend, update, or replace these Terms of Use at any time, for any reason, and without prior notice. Such modifications may include but are not limited to changes to membership criteria, pricing structures, access requirements, intellectual property provisions, community standards, liability limitations, dispute resolution procedures, service offerings, data practices, or any other provisions.
2.3 Publication of Changes
All modifications will be posted on this page with an updated effective date. We will make reasonable efforts to notify registered members of material changes via the primary email address on file. However, failure to receive such notification — whether due to spam filtering, outdated contact information, or any other reason — does not relieve you of the obligation to comply with updated terms.
2.4 Your Responsibility to Review
It is your sole responsibility to review these Terms of Use periodically. Your continued access to or use of Nous Sapient following the posting of any changes constitutes acceptance of those changes. If you do not agree to modified terms, your sole remedy is to discontinue use of the platform immediately.
2.5 Latest Version Controls
The version of these Terms of Use posted on this page at any given time is the operative version and supersedes all prior versions, all prior oral or written representations, and all prior course of dealing.
3. Membership and Access
3.1 Access Model
Nous Sapient currently operates under a free beta access model open to all users who meet eligibility requirements. Access terms, including pricing, membership tiers, and feature availability, are subject to change at any time at the sole discretion of platform leadership.
Future changes may include but are not limited to: introduction of paid subscription tiers, implementation of paywalls for premium or synthesized content, creation of differentiated membership categories, modification of feature access, or any other changes to the access model. No user has a vested right in the continuation of any current access arrangement.
3.2 Age Requirements and COPPA Compliance
Nous Sapient is intended exclusively for adults. Members must be at least 18 years old or have reached the age of majority in their jurisdiction, whichever is greater. The intellectual content and discourse on this platform assumes adult-level cognitive development and life experience.
We do not knowingly collect personal information from children under the age of 13. If we discover that a child under 13 has provided personal information, we will delete that information promptly. If you are a parent or guardian and believe your child has submitted personal information, please contact us at contact@noussapient.com so we may take appropriate action.
By using this platform, you affirmatively represent and warrant that you meet these age requirements and that you are not prohibited from using the platform under applicable law.
3.3 Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account. Accounts are personal and non-transferable. Sharing access, credentials, or account benefits with any third party undermines the trust architecture of the community and constitutes grounds for immediate termination without refund.
You agree to notify Nous Sapient promptly at contact@noussapient.com if you become aware of any unauthorized use of your account or any breach of security.
3.4 Conditional and Revocable Access
Access to Nous Sapient is conditional and revocable. No user has a perpetual right to access. Membership may be suspended or terminated at any time, for any reason or no reason, at the sole discretion of platform leadership. Where termination is for cause, no prior notice is required.
3.5 Membership Suspension and Termination Process
Where circumstances permit and at platform leadership’s sole discretion, a member suspected of violating these Terms may receive written notice identifying the alleged violation and a reasonable opportunity to respond before final action is taken. However, platform leadership reserves the right to suspend or terminate access immediately and without notice where the violation is clear, ongoing, harmful to the community, or involves prohibited activities under Section 5.3.
Decisions regarding suspension and termination are final and not subject to appeal except as required by applicable law.
3.6 Voluntary Departure
You may discontinue membership at any time by sending written notice to contact@noussapient.com with the subject line “Account Cancellation Request” and your registered email address. Upon confirmation of receipt, your access rights will be terminated within five (5) business days. Proper attribution rights for excerpts published during active membership pursuant to Section 6.2 survive voluntary departure.
3.7 Transition to Paid Model
When paid subscription tiers are introduced, Nous Sapient will provide registered members with advance written notice of no less than thirty (30) days prior to any transition affecting currently free content. However, no user has a right to perpetual free access, and free access may be discontinued or modified at platform leadership’s discretion with such notice.
Paid subscriptions, once implemented, will be governed by a Subscription Agreement and Payment Terms that will be incorporated into and form part of these Terms of Use. In the event of conflict between the Subscription Agreement and these Terms of Use, the Subscription Agreement shall control with respect to payment and subscription matters.
4. Platform Payments and Refunds
4.1 Current Status
Nous Sapient currently operates under a free beta model. No payment is required to access the platform at this time. This section governs the framework that will apply when paid tiers are introduced and will be updated with specific pricing and billing terms at that time.
4.2 Future Subscription Terms
When paid subscriptions are introduced, the following framework will apply unless modified by the Subscription Agreement published at that time:
- Billing cycles will be disclosed clearly at the point of purchase and in the Subscription Agreement.
- Subscriptions will auto-renew unless cancelled prior to the renewal date.
- Failed payments may result in immediate suspension of access until resolved.
- Pricing changes will be communicated at least thirty (30) days in advance to active subscribers.
4.3 Refund Policy Framework
When paid tiers are active, the following refund principles will apply:
- Voluntary cancellation: Pro-rated refund for unused full months of an annual subscription, provided cancellation is requested within the first thirty (30) days of the current billing period. Monthly subscriptions are non-refundable once the billing cycle has begun.
- Termination for cause: No refund will be provided upon suspension or termination for violation of these Terms of Use.
- Service discontinuation: If Nous Sapient discontinues the platform entirely, pro-rated refunds for unused prepaid subscription periods will be issued within sixty (60) days.
- Chargeback policy: Initiating a chargeback without first contacting platform leadership constitutes a material breach of these Terms and may result in permanent suspension.
Platform leadership retains discretion to provide refunds outside these parameters in exceptional circumstances. Such refunds are not precedent-setting and create no ongoing obligation.
5. What You Can Expect from Nous Sapient
5.1 Content and Services
Nous Sapient provides:
- Curated micro-reading analyses across 33+ intellectual genres
- Evaluative frameworks for assessing ideas, arguments, and intellectual work
- A community of intellectually serious readers and practitioners
- Structured methodologies for cognitive training through reading
- Cross-domain intellectual engagement spanning medicine, philosophy, governance, Vedic scholarship, and other domains
The specific services, features, genres, content offerings, and access levels may change at any time without liability. The platform operates through multiple channels including web interface, email distribution, messaging platforms, and other communication media as determined by operational needs.
5.2 Intellectual Governance
Content on Nous Sapient is governed by genre-specific evaluative criteria designed to maintain intellectual rigor and epistemic discipline. Published content undergoes editorial review to ensure adherence to these standards. We do not promise neutrality or platform indifference. The community operates under the intellectual direction of its founder.
5.3 No Guarantee of Uninterrupted Access
Nous Sapient does not guarantee continuous, uninterrupted, or error-free operation. Access may be interrupted for maintenance, updates, technical issues, transition to paid models, force majeure events, or other reasons without liability to you.
6. Member Conduct and Obligations
6.1 Intellectual Standards
As a member of Nous Sapient, you commit to the following epistemic standards, which are operational requirements for community membership. Failure to maintain these standards may result in membership termination:
- Epistemic discipline: distinguishing evidence from inference, claims from opinions, mechanisms from conclusions
- Evaluative rigor: engaging with ideas through structured analysis rather than emotional reaction or tribal signaling
- Intellectual honesty: acknowledging limitations in understanding, sources of uncertainty, and boundary conditions of arguments
- Respect for complexity: avoiding reductive simplification, false dichotomies, and premature synthesis
- Cross-domain humility: engaging with ideas outside your primary domain of expertise with appropriate epistemic care
6.2 Community Conduct
You agree to engage in good faith intellectual discourse, respect other members’ contributions even when disagreeing, avoid ad hominem attacks and bad-faith argumentation, attribute ideas and sources appropriately, and refrain from using the community for commercial promotion without explicit written permission from platform leadership.
6.3 Prohibited Activities
You may not:
- Use community content for AI training, machine learning, commercial data collection, or algorithmic processing of any kind
- Scrape, harvest, or systematically extract platform content by any means
- Impersonate other members, platform leadership, or misrepresent your credentials or expertise
- Engage in spam, unsolicited commercial messages, self-promotion, or algorithmic manipulation
- Introduce malware, phishing attempts, bots, or security threats of any kind
- Violate applicable laws or the intellectual property rights of others
- Attempt to reverse engineer, decompile, or extract proprietary methodologies or frameworks
- Access or attempt to access accounts, systems, or data that you are not authorized to access
- Use the platform for any purpose that competes with or is intended to compete with Nous Sapient’s services
Violation of any prohibited activity may result in immediate termination without notice, and platform leadership reserves the right to pursue all available legal remedies.
7. Content and Intellectual Property
7.1 Platform Content Ownership
All content, frameworks, methodologies, and systems published by or through Nous Sapient remain the exclusive intellectual property of the Raanan Group, LLC and Dr. Shashank Heda. This includes but is not limited to:
- The 7-Block Voice Stack methodology
- Genre-specific evaluative criteria across all 33+ genres
- The Di-AI writing governance framework
- All micro-reading articles and analyses
- All proprietary frameworks, methodologies, and systems (43+ proprietary frameworks)
- Platform design, user experience, and operational architecture
- The Nous Sapient name, logo, branding, and associated trade dress
7.2 Limited License to Members
Members are granted a limited, non-exclusive, non-transferable, revocable license to access and read platform content solely for personal, non-commercial intellectual development. This license permits:
- Reading platform content for personal learning and intellectual development
- Sharing brief excerpts publicly with proper attribution not to exceed 300 words per article or 10% of the total article length, whichever is less
- Applying learned principles in your own thinking with appropriate attribution in the following form: “As published on Nous Sapient by Shashank Heda, MD (noussapient.com)”
This license is revocable at any time and automatically terminates upon the termination of your membership for any reason.
7.3 Prohibited Commercial Uses
The license explicitly does NOT permit:
- Using frameworks in commercial work, consulting, or business operations without explicit written permission
- Teaching or training others using our methodologies, whether for compensation or not
- Creating derivative works, adaptations, summaries, or modifications for redistribution
- Systematic reproduction, distribution, or republication through any channel
- Any use that competes with or substitutes for Nous Sapient’s services
- Incorporation into books, courses, training programs, podcasts, or other commercial or educational offerings
- Use in AI training datasets, language model fine-tuning, or any form of machine learning
All commercial uses require explicit written permission from platform leadership and may be subject to licensing fees.
7.4 Member Contributions
Member contributions — including discussion posts, comments, and responses — remain the property of the contributing member. Nous Sapient does not claim rights to use member contributions for AI training, compilations, commercial publications, or research. Member contributions may be displayed within the community context but will not be commercialized or systematically repurposed without explicit written permission from the contributing member.
By submitting contributions to the platform, you grant Nous Sapient a limited, non-exclusive license to display and distribute your contributions within the platform for the purpose of facilitating community discussion. This license terminates upon the deletion of your contribution or the termination of your membership.
7.5 Copyright Infringement — DMCA
If you believe that content on Nous Sapient infringes your copyright, please submit a written notice to contact@noussapient.com containing: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the allegedly infringing material and its location on the platform; (c) your contact information; (d) a statement of good faith belief that the use is not authorized; (e) a statement under penalty of perjury that the information is accurate and that you are authorized to act on behalf of the copyright owner; and (f) your physical or electronic signature.
Nous Sapient will respond to valid DMCA notices in accordance with applicable law and will take appropriate action, including removal of infringing content where required.
8. Privacy, Data Protection, and Cookies
8.1 Privacy Policy
Our data collection, use, and protection practices are governed by our Privacy Policy, which is incorporated into and forms part of these Terms of Use. By accepting these Terms of Use, you also accept our Privacy Policy. The Privacy Policy is available at [noussapient.com/privacy] and governs all matters related to personal data.
8.2 Data Collection and Use Summary
In brief: we collect personal information necessary for platform operation and membership management. We do not sell member data to third parties for their independent use. We do not use member contributions for AI training or machine learning. We implement commercially reasonable security measures to protect member data. Full details, including legal bases for processing, are set forth in our Privacy Policy.
8.3 GDPR — European Union Members
For members in the European Economic Area (EEA), United Kingdom, and other jurisdictions subject to the General Data Protection Regulation or equivalent legislation:
- You have the right to access, rectify, erase, restrict processing, and port your personal data
- You have the right to object to processing and to withdraw consent where processing is based on consent
- You have the right to lodge a complaint with your local supervisory authority
- We process personal data on the legal bases of: consent, performance of contract, compliance with legal obligations, and legitimate interests
- Cross-border data transfers comply with applicable legal frameworks including Standard Contractual Clauses where required

8.4 CCPA — California Residents
If you are a California resident, the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA) provide you with additional rights regarding your personal information:
- Right to know: You may request disclosure of the categories and specific pieces of personal information we have collected about you.
- Right to delete: You may request deletion of personal information we have collected, subject to certain exceptions.
- Right to correct: You may request correction of inaccurate personal information.
- Right to opt-out of sale or sharing: We do not sell your personal information. We do not share your personal information for cross-context behavioral advertising.
- Right to non-discrimination: We will not discriminate against you for exercising your CCPA rights.
- Right to limit use of sensitive personal information: You may limit our use of sensitive personal information to that necessary for platform operation.

Nous Sapient uses cookies and similar tracking technologies to operate the platform, analyze usage patterns, and improve the member experience. By using the platform, you consent to our use of cookies in accordance with our Cookie Policy.
Types of cookies we use:
- Strictly necessary cookies: Required for platform operation. Cannot be disabled.
- Functional cookies: Enable enhanced platform features and personalization.
- Analytics cookies: Allow us to understand how members use the platform. Data is aggregated and anonymized.

8.6 Data Retention
We retain member personal data for as long as your membership remains active and for a period of three (3) years thereafter, or as required by applicable law, whichever is longer. You may request deletion of your personal information at any time by contacting contact@noussapient.com. Deletion requests will be processed within thirty (30) days subject to legal retention requirements and legitimate operational needs.
9. Digital Accessibility
Nous Sapient is committed to providing an accessible digital experience to all members, including those with disabilities. We strive to conform to the Web Content Accessibility Guidelines (WCAG) 2.1, Level AA, as published by the World Wide Web Consortium (W3C).

10. Disclaimers and Limitations
10.1 No Professional Advice
Nous Sapient provides educational and analytical content, not professional advice. Content regarding medical, legal, financial, psychological, or other specialized domains is offered for intellectual engagement only and is not a substitute for qualified professional consultation. Do not make medical, legal, or financial decisions based solely on content published on this platform.
10.2 No Warranty
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. NOUS SAPIENT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT, TITLE, AND UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
10.3 Third-Party Services
The platform may operate through or integrate with third-party services including but not limited to email distribution providers, messaging platforms (including WhatsApp), web hosting services, and analytics tools. We are not responsible for the availability, security, data practices, or policy changes of these third-party service providers. Your use of such services is subject to their respective terms of service and privacy policies. Current third-party platforms through which Nous Sapient content may be distributed include messaging applications and email services; we cannot guarantee the security or privacy practices of these platforms.
10.4 Force Majeure
Nous Sapient shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, epidemic, government action, regulatory changes, war, terrorism, labor disputes, internet or telecommunications failures, power outages, or third-party platform failures. In such events, our obligations will be suspended for the duration of the force majeure event and we will make reasonable efforts to resume normal operations as soon as practicable.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOUS SAPIENT, THE RAANAN GROUP, LLC, DR. SHASHANK HEDA, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANY OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.
Our total cumulative liability for all claims arising from or related to these Terms of Use or your use of the platform shall not exceed the greater of: (a) the total amount you paid to Nous Sapient in the twelve (12) months preceding the event giving rise to the claim; or (b) one hundred United States dollars ($100.00 USD).
Some jurisdictions do not allow the exclusion or limitation of certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by applicable law. Nothing in these Terms of Use limits liability for: (a) death or personal injury caused by gross negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Nous Sapient, the Raanan Group, LLC, Dr. Shashank Heda, and their respective officers, directors, employees, agents, contractors, licensors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to:
- Your violation of any provision of these Terms of Use
- Your violation of any applicable law, regulation, or rights of any third party
- Your use of or inability to use the platform
- Your member contributions or any content you submit to the platform
- Your conduct that causes harm to Nous Sapient, other members, or third parties
This indemnification obligation survives termination of these Terms of Use and your membership, and continues indefinitely. Nous Sapient reserves the right to assume exclusive control of any matter subject to indemnification, at your expense.
13. Dispute Resolution
13.1 Informal Resolution First
Before initiating any formal dispute resolution process, both parties agree to attempt to resolve any dispute, claim, or controversy informally. The aggrieved party shall provide written notice to the other party describing the dispute in reasonable detail. The parties agree to negotiate in good faith for no less than thirty (30) days from the date of such notice before proceeding to mediation or arbitration.
13.2 Mandatory Mediation
If informal resolution fails, the parties must attempt resolution through mediation before proceeding to arbitration. Either party may initiate mediation by providing written notice to the other. Mediation shall be conducted by a single neutral mediator agreed upon by the parties, or in the absence of agreement, appointed by the American Arbitration Association (AAA). If mediation does not resolve the dispute within sixty (60) days of the initiation notice, either party may proceed to arbitration.
13.3 Binding Arbitration
Any dispute, claim, or controversy arising from or relating to these Terms of Use or the platform that is not resolved through informal negotiation or mediation shall be resolved through final and binding arbitration, not through litigation in court.
Arbitration shall be conducted by a single arbitrator under the Consumer Arbitration Rules of the American Arbitration Association (AAA) then in effect. The arbitration shall take place in Dallas, Texas, USA, or via videoconference if both parties agree. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
The AAA rules are available at www.adr.org. Filing fees and arbitration costs will be allocated in accordance with AAA rules. Each party shall bear its own attorneys’ fees unless the arbitrator determines that a claim or defense was frivolous or brought in bad faith.
13.4 Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY ARBITRATION OR MEDIATION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION OR CLASS-WIDE ARBITRATION. IF THE CLASS ACTION WAIVER IS FOUND UNENFORCEABLE IN ANY PARTICULAR CASE, THE ARBITRATION AGREEMENT SHALL NOT APPLY TO THAT CASE.
Note for members outside the United States: Class action waivers may be unenforceable in certain jurisdictions, including EU member states. In such jurisdictions, you retain whatever rights are provided under applicable local law, and the arbitration clause applies only to the extent permitted by that law.
13.5 Governing Law
These Terms of Use and any dispute arising from or related to them shall be governed by and construed in accordance with the laws of the State of Texas, USA, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
13.6 Exceptions to Arbitration
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any state or federal court located in Dallas County, Texas, to: (a) protect intellectual property rights; (b) prevent unauthorized use or disclosure of confidential information; or (c) prevent imminent harm that cannot adequately be remedied through arbitration. Such actions do not require prior informal negotiation or mediation.
13.7 Time Limitation
Any claim arising from or related to these Terms of Use or your use of the platform must be submitted to mediation or arbitration within one (1) year after the cause of action arose, or such claim shall be permanently barred. This limitation applies regardless of any statute of limitations that might otherwise apply.
14. General Provisions
14.1 Entire Agreement
These Terms of Use, together with our Privacy Policy, Cookie Policy, and any applicable Subscription Agreement, constitute the entire agreement between you and Nous Sapient regarding your use of the platform. They supersede all prior and contemporaneous communications, representations, agreements, and understandings, whether oral or written.
14.2 Severability
